Selling your business

YOU ARE THE OWNER OF A COMPANY THAT YOU WISH TO SELL.

Our role as Mergers & Acquisitions advisors begins with considering the available options, anticipating the human, financial, and tax implications, and providing you with guidance. This planning and development phase is crucial to the success of the chosen process.

Success factors for a sale:

Having the right approach

Choosing the right method of transfer

Knowing how to value the company

To carry the transaction process through to its completion

Timing and rhythm.

In a sale operation, it is essential to be proactive, to put oneself in a position of strength, to decide on the right timing and to operate in complete confidentiality.

Selling your business is both a long-term process and a sprint. It takes between 4 and 12 months to complete a sale under good conditions, meaning calmly and without rushing.

Choosing an advisor to partner with you in this process is crucial. It saves you time and allows you to focus your energy on running your business smoothly.

The relationship of trust and confidential cooperation established will allow you to manage the transaction with greater confidence and make the right choices. Engaging an advisor in a sale means having a partner who manages the process, sets the pace of negotiations, prepares you for meetings, collaborates with your experts (accountants or legal professionals, etc.), and more.

After the reflection and preparation phase, we work with you through all the steps of the transaction: validation of choices, preparation of the presentation file, valuation of the company, confidential contact with potential buyers, conduct of negotiations, advice on the financial structuring, up to finalization, and this in close collaboration with your other accounting and legal advisors.

Our experience as business leaders and then as Mergers & Acquisitions consultants is an asset in terms of proximity, responsiveness, pragmatism and competence.

Croissance externe / Build-Up

This strategy can also be a good way to develop in related fields, and to enrich different organizations that sometimes function better than one's own.

The growth-by-acquisition strategy allows you to move faster.

Key success factors

An ambitious project defined by an explicit and realistic strategy

A voluntary approach

Forming a value-creating partnership with a Council.

EURODEALS assists executives in defining their strategy, organizing competitive intelligence to stay constantly alert to emerging opportunities, and approaching management. Our experience shows that the best acquisition strategy is an industrial one, and regardless of the target company's financial data, the value of the deal will take precedence, particularly its complementarity from a technical, commercial, or logistical standpoint.

The leader's role will then be to properly integrate the teams and to carry out this acquisition in line with the overall strategy he has set.

EURODEALS provides consulting services for both build-up strategies financed by investment funds and for financially independent SME owners who wish to expand through external growth.

Fundraising/OBO

YOU ARE THE OWNER...

How to sell your business while remaining the owner.

The leveraged buyout (LBO) market is experiencing strong growth in France at a time when economic growth is often slow to materialize.

Today, it accounts for 2/3 of private equity transactions.
While large groups have often put a stop to their acquisition policy and IPOs are still rare, some business owners should know that there is an alternative to selling their company or going public: the one offered by private equity with the sale in the form of an OBO (“Owner Buy Out”).

An OBO transaction

A voluntary approach and an ambitious project

For a profitable business

A leveraged recovery

A value-creating partnership.

An owner buyout (OBO) is a form of leveraged buyout (LBO) where the acquisition of the company is structured with the owner himself. It serves two purposes: asset preservation and financing for growth.

Carrying out a management buyout (MBO) means opening up your company's capital to a private equity investor, allowing you to:

I - Achieve partial liquidity of your securities and those of your potential partners (up to 74% while remaining majority);

II - To strengthen your company's equity and provide it with the necessary resources for its expansion.

EURODEALS ' role is to first validate the feasibility of an OBO (strategic and financial criteria, legitimacy of the owner-managers...), to define the outlines of the operation (minority or majority stake acquisition...) and to help you in developing an ambitious and credible business plan over 3 to 5 years.
We then select private equity investors likely to be interested in the purpose and scope of your project and put them in competition. We help you choose the most suitable partner (philosophy, management package, entry price, exit conditions, accretive mechanisms, leverage calibration, capital allocation, tax integration, Charasse amendment, etc.).

It is important that you choose your future partner with full knowledge of the facts. We will introduce you to several investors who may have different styles and approaches.

Ultimately, what will really matter, beyond of course the quantitative parameters of the operation, is that such an association is based on a strong mutual co-optation between you and the investor.

YOU ARE A MANAGER...

Confident and legitimized by your experience, you wish to take over a business and are looking for a financial partner.

The role of EURODEALS

It consists of validating your project and in particular the choice of the target likely to be the subject of an LBO (economic, strategic, financial, managerial criteria and criteria related to the context and nature of the shareholding).

We can also help you choose a target that matches your search criteria (size, sector...).

We help you define the scope of the transaction and develop an ambitious yet credible 3-5 year business plan. The business plan is the cornerstone of any LBO transaction (strategic and financial criteria, etc.).

We validate your legitimacy and the feasibility of the operation by contacting the current owners of the target company, with whom we begin initial discussions. We then enter the process of searching for private equity investors who might be interested in the purpose and scope of your project.

We put the selected private equity investors in competition.

We help you choose the partner best suited to your project (appetite for the project, management package, values...) and the one best able to form a good team with you.

It is important to be able to choose your partner and it is useful to meet several potential investors who may have different styles and approaches.

Ultimately, what will really matter, beyond of course the quantitative parameters of the operation, is that such an association is based on a strong mutual co-optation between you and the investor.
